1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and NoveraIQ, Inc. ("NoveraIQ," "we," "us," or "our") governing your access to and use of the NoveraIQ platform, website, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Changes to Terms

Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Services.

3. Account Registration and Security

  • You agree to pay all fees in accordance with the pricing and payment terms presented to you.
  • Subscriptions automatically renew unless canceled before the renewal date.

  • All fees are non-refundable except as required by law or as explicitly stated in these Terms.

5. User Content and License

Our Services allow you to upload, submit, store, send, or receive content, including data, text, and files ("User Content"). You retain ownership of any intellectual property rights that you hold in your User Content. By uploading User Content, you grant NoveraIQ a worldwide, royalty-free, non-exclusive license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display, and distribute such User Content for the limited purpose of providing and improving the Services.

6. Prohibited Conduct

You agree not to:

  • Use the Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Services.
  • Use the Services in any way that violates applicable laws or regulations.
  • Use the Services to upload, transmit, or distribute any viruses, worms, or malicious code.
  • Attempt to gain unauthorized access to any part of the Services or systems.
  • Use the Services to infringe or violate the intellectual property rights or any other rights of others.
  • Use the Services to collect or store personal data about other users without their consent.

7. Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by NoveraIQ, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NOVERAIQ DOES NOT WARRANT THAT THE SERVICES ARE ERROR-FREE OR THAT ACCESS WILL BE CONTINUOUS OR UNINTERRUPTED.

9. Limitation of Liability

IN NO EVENT WILL NOVERAIQ, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold harmless NoveraIQ, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

11. Termination

We may terminate or suspend your access to all or part of the Services, with or without notice, for any conduct that we, in our sole discretion, believe violates these Terms or is harmful to other users of the Services, us, or third parties, or for any other reason. Upon termination, your right to use the Services will immediately cease.

12. Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule.

13. Dispute Resolution

Any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration conducted by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California, and shall be conducted in the English language.
